I have this annoying pop up that does not go away and says to upgrade my IPB

When i click on it takes me to my back-end then to your site i downloaded the file but i have no idea how to upgrade IPB i am so new to this..

Hello, You need to unzip the archive to the root of your site with a replacement and go to site.com/admin/upgrade

do i need to have a folder or just place the files in the root IPB folder?

ok no folder or nothing then go to admin/upgrade correct?
